Sody App Terms of Service

1. Introduction
Welcome to Sody! These Terms of Service ("Terms") govern your access to and use of the Sody platform, which includes the Sody consumer application ("Sody App"), the Sody salon management application ("Sody Partner"), our website, and any related services (collectively, the "Platform"). Sody connects consumers ("Consumers") with beauty and wellness salons and professionals ("Salons") through a marketplace. Sody facilitates bookings and payments but is *not* a party to the service agreement between Consumers and Salons.
Please read these Terms carefully before using the Platform. By accessing or using any part of the Platform, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access or use the Platform.
2. Definitions
For clarity, the following terms have these meanings in these Terms:
- "Consumer": An individual using the Sody App to browse, book, and pay for salon services.
- "Salon": A business or individual service provider offering beauty and wellness services through the Platform. This includes both home-based salons and those with commercial premises.
- "Sody App": The mobile application for Consumers.
- "Sody Partner": The mobile application for Salons to manage their business.
- "Platform": Collectively, the Sody App, Sody Partner, website, and related services.
- "Booking": A request for services made by a Consumer through the Platform.
- "Deposit": A partial payment required by some Salons to confirm a Booking.
- "PayNow": The payment method currently used on the Platform.
- "Service Agreement": The contract for services between a Consumer and a Salon. Sody is *not* a party to this agreement.
- "User Content": Any information, data, text, images, videos, reviews, or other content submitted to the Platform by users.
- "Processing Fee": The fee charged by Sody to the Consumer for processing the booking.
3. Acceptance of Terms
By accessing or using the Platform, you affirm that you are at least 18 years old and have the legal capacity to enter into contracts. If you are using the Platform on behalf of a business (e.g., as a Salon owner), you represent that you have the authority to bind that business to these Terms.
You also agree to comply with all applicable terms and conditions of the Apple App Store and Google Play Store when using the Platform. In the event of a conflict between these Terms and the App Store terms, the App Store terms will prevail regarding your use of the downloaded application.
4. Account Registration and Security
Account Creation: To use certain features of the Platform, you must create an account. You agree to provide accurate, complete, and current information during registration and to keep your information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify Sody of any unauthorized use of your account.
Account Security: You are responsible for taking reasonable steps to protect your account, including choosing a strong password and not sharing it with others.
Account Types: There are two types of accounts:
- Consumer Accounts: For individuals seeking services.
- Salon Accounts (Sody Partner): For businesses and individual service providers. Salon accounts require additional information, as detailed in Section 8.
5. User Content
Responsibility: You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize Sody to use your User Content as described in these Terms.
License to Sody: By submitting User Content, you grant Sody a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Platform and Sody's business, including for promotional purposes. This includes the right to use your username, salon name, and any associated images or logos.
Prohibited Content: You agree not to submit User Content that:
- Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
- Infringes any intellectual property rights or other proprietary rights of any party.
- Contains software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of any computer software or hardware.
- Includes personal information of others without their express consent.
- Is false, misleading, or deceptive.
- Constitutes unsolicited or unauthorized advertising or promotional material ("spam").
Content Removal: Sody reserves the right, but is not obligated, to remove or disable access to any User Content that violates these Terms or is otherwise objectionable, in Sody's sole discretion.
Reviews and Ratings: Reviews and ratings must be truthful and based on your actual experience. Sody may remove reviews that are deemed to be fraudulent, abusive, or otherwise violate these Terms.
6. Prohibited Conduct
In addition to the restrictions on User Content, you agree *not* to:
- Use the Platform for any illegal purpose or in violation of any local, state, national, or international law.
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Interfere with or disrupt the operation of the Platform or servers or networks connected to the Platform.
- Attempt to gain unauthorized access to the Platform, other user accounts, or computer systems or networks connected to the Platform.
- Use any robot, spider, scraper, or other automated means to access the Platform for any purpose without Sody's express written permission.
- Circumvent any measures implemented by Sody to prevent or restrict access to the Platform.
- Engage in any activity that could damage, disable, overburden, or impair the Platform.
- Harass, threaten, or intimidate other users.
- Attempt to reverse engineer, decompile, or disassemble any portion of the Platform.
7. Bookings, Payments, and Cancellations
Booking Process:
- Consumers can browse Salons and their service catalogs on the Sody App. The Sody App provides tools for filtering Salons and services based on various criteria, including, but not limited to, distance, popularity, and service type.
- Consumers can submit Booking requests, specifying the desired service, date, and time.
- Salons can accept or reject Booking requests through Sody Partner.
- A Booking is confirmed *only* when the Salon accepts the request through the Platform. This forms the Service Agreement directly between the Consumer and the Salon.
- Sody is *not* a party to the Service Agreement and is not responsible for the quality, safety, or legality of the services provided.
Payments and Deposits:
- PayNow: Currently, all payments are processed through PayNow. You agree to comply with PayNow's terms of service.
- Deposit: Many Salons require a Deposit to confirm a Booking. The Deposit amount is determined by the Salon and displayed on the Platform.
- Sody's Processing Fee: Sody charges a Processing Fee on the total service fee, which is added to the Deposit amount paid by the Consumer at checkout. The Processing Fee rate is subject to change, and any changes will be communicated to users through the Platform or via email.
- Payment Breakdown: At checkout, the Consumer pays the Deposit plus Sody's Processing Fee. The Deposit is immediately transferred to the Salon upon Booking confirmation. The remaining balance of the service fee is to be settled directly between the Consumer and the Salon, outside of the Platform. Sody is not responsible for collecting the remaining balance.
- Currency: All transactions are in Singapore Dollars (SGD).
Cancellations and Refunds:
- Salon Cancellation Policies: Each Salon sets its own cancellation policy, which is displayed on their profile and during the Booking process. Consumers are responsible for reviewing and understanding these policies *before* making a Booking.
- Consumer Cancellation: If a Consumer cancels a Booking, the handling of the Deposit is governed by the Salon's cancellation policy.
- Salon Rejection: If a Salon rejects a Booking request, Sody will refund the Consumer the appropriate amount.
- Salon Cancellation (After Confirmation):
- If a Salon cancels a confirmed Booking, they may choose to refund the Deposit to the Consumer or retain it, according to their cancellation policy.
- If the Salon chooses to refund, Sody will facilitate the refund process. The Salon will return the Deposit amount to Sody, and Sody will then refund the Consumer the amount paid, subject to the applicable cancellation policy.
- Disputes: If you have a dispute with a Salon regarding a Booking, payment, or service, you agree to first attempt to resolve the dispute directly with the Salon. If you are unable to resolve the dispute, you may contact Sody for assistance, but Sody is not obligated to intervene and is not liable for the outcome.
8. Salon & Professional Responsibilities (Sody Partner)
This section applies to Salons using the Sody Partner application.
Account Information: When creating a Salon account, you must provide accurate and complete information, including:
- Business name (if applicable)
- UEN (Unique Entity Number) if registered as a business in Singapore, or your legal name if operating as an individual.
- Business address
- Contact information
- Bank account details for receiving Deposit payouts (must be a valid Singaporean bank account).
- Service offerings, pricing, and availability.
- Cancellation policy.
You are responsible for keeping this information up-to-date.
Legal Compliance: You represent and warrant that:
- You have all necessary licenses, permits, and registrations required to operate your business and provide services in Singapore.
- You will comply with all applicable Singaporean laws and regulations, including those related to health, safety, and consumer protection.
- You have appropriate insurance coverage for your business.
Service Quality: You are solely responsible for the quality, safety, and legality of the services you provide. You agree to provide services in a professional and competent manner.
Sody Partner Features: Sody Partner provides tools to help you manage your salon, including, but not limited to, booking management, customer communication, and calendar synchronization. You may use these features to manage your business. You are responsible for the proper use of these features. Sody is not responsible for errors or omissions resulting from your use of these features.
Calendar Sync: If you choose to use the calendar sync feature, you acknowledge that Sody will have access to your calendar data. Sody will only use this data to facilitate bookings and will not share it with third parties without your consent, except as required by law.
9. Intellectual Property
Sody's Intellectual Property: The Platform and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Sody and its licensors. The Platform is protected by copyright, trademark, and other laws of both Singapore and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Sody.
Limited License: Sody grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose, subject to these Terms.
10. Disclaimers of Warranties
Platform "As Is": The Platform is provided "as is" and "as available," without warranty of any kind, express or implied. Sody disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
No Guarantee of Availability: Sody does not guarantee that the Platform will be uninterrupted, error-free, or secure. We may suspend or discontinue the Platform, or any part of it, at any time without notice.
No Endorsement: Sody does not endorse, warrant, or guarantee the quality, safety, or legality of any services offered by Salons. Consumers are responsible for conducting their own due diligence before booking services.
Third-Party Services: The Platform relies on third-party services, such as PayNow. Sody is not responsible for the acts or omissions of these third-party providers.
11. Limitation of Liability
Limitation of Liability: To the maximum extent permitted by Singaporean law, Sody shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Platform;
- Any conduct or content of any third party on the Platform, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties;
- Any content obtained from the Platform;
- Unauthorized access, use, or alteration of your transmissions or content;
- Any services provided by Salons.
Maximum Liability: In no event shall Sody's aggregate liability for all claims relating to the Platform exceed the greater of one hundred Singapore dollars (SGD 100.00) or the total amount of Processing Fees you paid to Sody in the twelve (12) months preceding the event giving rise to the liability.
Exclusions: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. In such cases, Sody's liability will be limited to the greatest extent permitted by law.
12. Indemnification
You agree to indemnify and hold harmless Sody and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Platform;
- Your User Content;
- Your violation of these Terms;
- Your violation of any rights of another party, including Salons or Consumers;
- Your conduct in connection with the Platform;
- Any dispute between you and a Salon or another Consumer.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
14. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its Arbitration Rules. The arbitration shall take place in Singapore, and the language of the arbitration shall be English. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. This clause does not prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction.
15. Modifications to the Platform and Terms
Sody reserves the right to modify or replace these Terms at any time. We will post the updated Terms on the Platform and update the "Last Updated" date. We may also notify you of material changes via email or through a notice on the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for changes.
Sody may also modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice.
16. Termination
Sody may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
You may terminate your account at any time by contacting Sody customer support. If you terminate your account, you remain responsible for any outstanding obligations, including payments due to Salons.
17. General Provisions
Entire Agreement: These Terms constitute the entire agreement between you and Sody regarding your use of the Platform and supersede all prior and contemporaneous agreements and understandings.
Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
Waiver: Sody's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment: You may not assign these Terms without Sody's prior written consent. Sody may assign these Terms without restriction.
No Third-Party Beneficiaries: These Terms are for the benefit of you and Sody and are not intended to confer any rights or remedies upon any other person or entity.
